Five Bidders Including JSW For Usha M...

Five companies have expressed interest in buying Usha Martin’s steel business, the company has announced.  The five — JSW Steel, Tata Steel, Liberty House, Kalyani and Vedanta — have signed non-disclosure agreements (NDAs) in this regard, while they do their due-diligence.

Once the offers are made, it would be evaluated by an independent committee set up by Usha Martin’s board of directors. Usha Martin’s board approved the sale of the steel business, aimed at reducing debt. Usha Martin was earlier looking to sell its wire and wire ropes business. However, a change in market conditions prompted the company to look at sale of the steel business.

Pelican Wire has completed the purchase of a portion of the Serv-Rite  insulated thermocouple manufacturing business from Watlow Electric. The agreement, which includes machinery, design and manufacturing process information and customer account data, specifically effects the high-temperature ceramic and vitreous silica (high-temperature glass) constructions.

Watlow, based in St. Louis, has begun transferring both design and manufacturing knowledge of the product line to Pelican Wire, which already manufacturers its own similar products, so the transition is expected to be seamless. Mexican Manufacturing Firm Xignux Acq...

Mexican Industrial corporation Xignux has completed acquisition of American Bare Conductor in LaSalle, Illinois, and will be adding 100 employees to the current workforce of 41 by next year.

The 290,000-square-foot facility is now part of Xignux’ Viakable CME Wire & Cable division (VKMUSA), manufacturing electric wire and cable. Xignux is an industrial consortium based in Monterrey, Nuevo Leon, Mexico which employs more than 20,000 people worldwide.

Ryerson Holding Corp. (RYI) announced a definitive merger agreement to acquire Central Steel & Wire Company, a metal service center with six locations across the Central and Eastern U.S. The transaction values Central Steel & Wire at an enterprise value of $140 million on a cash-free, debt-free basis with a normalized level of working capital.

Central Steel & Wire employs approximately 900 people and has annual revenue of approximately $600 million. Central Steel & Wire will continue to operate under its current brand name following the closing of the transaction.

Ryerson intends to fund the acquisition through existing and acquired sources of liquidity.

JSW Steel and Vedanta have expressed an interest to acquire the specialty steel business of Usha Martin, a sale fetching a maximum of ?5,000 crore that will help the Kolkata-based company pare its debt, two people aware of the development told ET. The valuation of the business is being pegged between Rs 3,500 and Rs 5,000 crore. JSW Steel has acquired Aferpi, an Italian steelmaker, for a cash consideration of 55mn euros (Rs441cr). The acquisition also includes stake purchase in Aferpi who is a maker of specialty long steel products. The company's plant consists of a rail mill (0.32mtpa), a bar mill (0.4mtpa) and a wire rod mill (0.6mtpa). The plant also has a captive port and steel ball mill that are part of the acquisition.
